# Terms of Use

## About this software

The Sunshine Academy Ops Dashboard ("the Software") is internal business software owned and
operated by The Sunshine Academy, Inc. ("Sunshine Academy", "we", "us"). It is used solely by
Sunshine Academy owners, directors, and authorized staff to manage staffing schedules,
enrollment, facilities, vehicles, and business reporting across our childcare centers.

The Software is **not** offered to the public, not sold, and not licensed to third parties.
These Terms govern use of the Software by our authorized personnel.

## License

Sunshine Academy grants authorized personnel a limited, non-exclusive, non-transferable,
revocable right to access and use the Software for internal business purposes only, for as
long as they are authorized. All rights not expressly granted are reserved.

You may not: copy, distribute, sublicense, sell, or publicly disclose the Software or its
contents; reverse engineer or attempt to derive source code; use the Software for any purpose
other than Sunshine Academy business; or share access credentials with anyone.

## Authorized use and accounts

Access requires a Sunshine Academy Microsoft account and is granted by management. Access may
be modified or revoked at any time, including immediately upon end of employment. You are
responsible for activity under your account and must report suspected unauthorized access
promptly.

## Connected services

The Software connects to third-party business systems we use, which may include childcare
management, accounting, payroll, telematics, communications, building systems, and marketing
platforms. Data retrieved from those systems is used only for internal Sunshine Academy
operations. Your use of the Software does not grant you any rights in those third-party
services, and their own terms continue to apply.

## Confidentiality

The Software displays confidential business information, including staff records, family and
child information, financial data, and operational data. You must keep all such information
confidential, access only what your role requires, and not remove, copy, or transmit it
outside Sunshine Academy systems except as your job requires and applicable law permits.

## Privacy

Our handling of personal information is described in our Privacy Policy at
https://sunshineacad.com/privacy, which is incorporated into these Terms by reference.

## Availability

The Software is provided for internal convenience and may be modified, interrupted, or
discontinued at any time without notice. We do not guarantee uninterrupted availability or
that the Software will be error-free.

## Disclaimer and limitation of liability

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
NON-INFRINGEMENT. Information shown may be incomplete or out of date; it is a management aid
and does not replace official records or professional judgment.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUNSHINE ACADEMY WILL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR
BUSINESS, ARISING FROM USE OF THE SOFTWARE.

## Changes

We may update these Terms at any time. Continued use of the Software after an update
constitutes acceptance of the revised Terms.

## Governing law

These Terms are governed by the laws of the State of Montana, without regard to conflict of
law principles. Venue for any dispute lies in Yellowstone County, Montana.
